01Who you are buying from
1.1 These buyer terms of sale (the "Buyer Terms") apply when you buy products through a checkout operated by [Company legal name], a company registered in [Jurisdiction] under number [Registration no.] with its registered office at [Registered address] ("Zonipay", "we", "us").
1.2 Zonipay is the merchant of record for the store named on the checkout and on your receipt (the "Store"). This means Zonipay is the seller on your order: you pay Zonipay, your card statement shows ZONIPAY* STORENAME, and your receipt comes from Zonipay on behalf of the Store. The Store supplies and ships the products and is responsible for their description and quality.
1.3 The Store's own terms, shipping policy and refund policy also apply to your order, so far as they are consistent with these Buyer Terms. Where they conflict, these Buyer Terms apply, except that a Store may offer you more generous refund terms than section 9.
02Definitions
- "Attestation" means the statement you confirm at checkout described in section 3.2.
- "Order" means your purchase of Products through the checkout.
- "Products" means the research-use-only materials listed in your Order.
- "Research use" means use in laboratory research, analysis or testing, and not for human or animal use of any kind.
- "You" means the person placing the Order and, where you order for an organization, that organization.
03Research use only
3.1 Products sold under these Buyer Terms are sold for research use only. They are not medicines, foods, supplements, cosmetics or consumer products, and they are not sold for human or animal consumption, injection, application or any diagnostic or therapeutic purpose.
3.2 Attestation. Before you pay, you must confirm that the purchase is for laboratory research use only and not for human or animal use. We store your Attestation with your Order, together with the date, time and technical details of the confirmation.
3.3 Prohibited uses. You agree that you will not, and will not allow anyone else to:
- use the Products, or provide them for use, in or on humans or animals;
- resell, relabel or repackage the Products for human or animal use, or for anyone you know or suspect will use them that way;
- use the Products in breach of any law, licence requirement or institutional rule that applies to you;
- supply the Products to anyone under 21 years of age.
3.4 You are responsible for handling, storing, using and disposing of the Products safely and lawfully, by appropriately trained people in a suitable setting.
3.5 We or the Store may cancel an Order, before or after payment, if we reasonably believe the Products are intended for a prohibited use. We will refund any payment taken for a canceled Order.
04Eligibility
4.1 To buy, you must be at least 21 years old and be a laboratory, institution or business, or a qualified individual researcher purchasing for research use.
4.2 By placing an Order you confirm that the information you give is accurate and complete, that you have authority to bind any organization you order for, and that you are not a person with whom we are prohibited from dealing under sanctions laws.
4.3 We or the Store may ask for reasonable information to confirm your eligibility, and may decline or cancel an Order if it is not provided.
05Restricted locations
5.1 We do not sell to persons located, organized or ordinarily resident in a country or region subject to comprehensive sanctions, or to sanctioned persons.
5.2 Some Products may not be shipped to some countries, states or addresses because of local law or carrier rules. The Store shows where it ships. We or the Store may refuse or cancel an Order for a destination where the Products are restricted, and will refund any payment taken.
5.3 You are responsible for making sure that importing and holding the Products is lawful where you are. Import duties and taxes charged by the destination country are yours to pay unless the checkout says they are included.
06Orders and pricing
6.1 Your Order is an offer to buy. We accept it when we send you an order confirmation. We or the Store may decline an Order, for example where a Product is unavailable, a price was shown in error, or we suspect fraud or a prohibited use. If we decline after payment, we refund you in full.
6.2 Prices are shown at checkout in the currency stated, with shipping and any taxes shown before you pay. Where sales tax or VAT applies to your Order, it is shown at checkout and on your receipt.
6.3 If a price is clearly wrong, we will tell you and give you the choice to continue at the correct price or cancel.
6.4 Additional items offered on the checkout, such as a related item added with one click, are only added if you choose them and are shown in your total before you pay.
07Payment
7.1 You can pay by card (Visa, Mastercard, American Express, Discover) or by a wallet such as Apple Pay or Google Pay, where offered. Card payments are processed by Stripe. Your card details are entered into fields hosted by Stripe, and Zonipay never sees or stores your full card number.
7.2 Your bank may ask you to complete an extra security step (3-D Secure). Payment is taken when you place the Order.
7.3 We may screen payments for fraud using information such as your IP address, device and order details. An Order may be held or declined as a result.
7.4 Your receipt is sent by email from Zonipay and shows the Store's name, the Products, the amount paid and any tax charged.
08Shipping, title and risk
8.1 The Store ships your Order to the address you give, using the method and timing shown in its shipping policy. Delivery dates are estimates.
8.2 Risk of loss or damage passes to you when the Products are delivered to your address. Title passes to you when they are delivered and paid for in full.
8.3 Please check your Order when it arrives and report wrong, damaged or missing items as described in section 9.
09Refunds and returns
9.1 Every Order is covered by our minimum standard, set out in full in the refund and returns policy:
- if you receive the wrong item, an item that is damaged, or nothing at all, we will refund or replace it;
- please ask within 30 days of delivery (or, for an Order that never arrived, within 30 days of its estimated delivery date);
- opened or reconstituted materials cannot be returned, unless they were wrong or damaged on arrival;
- refunds go to your original payment method and are usually visible within 5 to 10 business days.
9.2 The Store may offer more generous terms. It will not offer less.
9.3 We may ask for reasonable evidence, such as photographs of damaged packaging, and the Store may ask you to return unopened items using a method it pays for.
9.4 Nothing in these Buyer Terms limits any rights you have under the law that cannot be excluded.
10Problems and disputes
10.1 Contact us first. If something is wrong with your Order, please contact the Store, or write to support@zonipay.com with your order number. Most problems are resolved quickly this way. If you are not satisfied, write to disputes@zonipay.com and we will review the Order, including the Store's shipping records.
10.2 Your card rights. You keep the right to ask your card issuer to dispute a payment. If you do, we answer the dispute as merchant of record and may share your Order details, delivery evidence and Attestation record with the card issuer. Asking us first is usually faster and avoids your card being blocked by your bank while it investigates. See our disputes policy.
10.3 Complaints. You can also raise a complaint under our complaints procedure.
11Product information
11.1 Product descriptions, specifications and certificates of analysis are provided by the Store. The Store must make sure they are accurate. We do not test the Products.
11.2 We and the Store make no statement that any Product is safe or suitable for any use other than the research use described in its documentation.
12Liability
12.1 We are responsible for losses you suffer that are a foreseeable result of our breach of these Buyer Terms. We are not responsible for losses that were not foreseeable, or for business losses such as loss of profit, data or opportunity.
12.2 Except as stated in section 12.3, our total liability to you in connection with an Order is limited to the amount you paid for that Order.
12.3 Nothing in these Buyer Terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited or excluded by law.
12.4 We are not liable for any loss arising from use of the Products in breach of section 3, including any use in or on humans or animals.
12.5 We are not liable for delay or failure caused by events beyond our reasonable control. If such an event prevents us or the Store from delivering your Order, we will refund you.
13Your information
13.1 We use your personal data to process your Order and payment, prevent fraud, keep your Attestation record, handle refunds and disputes and meet our legal obligations, as described in our privacy policy. We share with the Store the information it needs to ship your Order and support you.
14Law and jurisdiction
14.1 These Buyer Terms are governed by the laws of [Governing law]. The courts of [Jurisdiction] have jurisdiction, except that if you buy as a consumer you may also bring proceedings in the courts where you live, and you keep the protection of any mandatory laws of the place where you live.
15General
15.1 We may update these Buyer Terms from time to time. The version shown when you place your Order applies to it.
15.2 If any part of these Buyer Terms is unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it.
15.3 You may not transfer your rights under these Buyer Terms without our consent. We may transfer ours to a successor business, and your rights will not be reduced as a result.
